These Terms of Service ("Terms") are a legal agreement between you and Helperama Inc., operating as The Gold List ("The Gold List," "we," "us," or "our"), governing your access to and use of thegoldlist.ca and all related services (collectively, the "Platform"). By accessing the Platform, creating an account, submitting an application, or purchasing a membership, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
The Gold List is a directory and matching service that connects people looking for home and personal services ("Seekers") with independent local professionals ("Professionals" or "Members") who have applied for and been approved to list on the Platform.
The Gold List is not an employer, agent, franchisor, joint venturer, partner, or fiduciary of any Professional, and no fiduciary duty is owed by The Gold List to any user. Professionals listed on The Gold List are independent businesses or individuals, not employees, contractors, or agents of The Gold List. The Gold List does not itself provide, supervise, direct, or control any home service, personal service, trade, or professional work of any kind, and The Gold List is not a party to any agreement formed between a Seeker and a Professional.
You must be at least 18 years old and capable of forming a binding contract under the laws of your jurisdiction to use the Platform. By using the Platform, you represent that you meet these requirements. If you use the Platform on behalf of a business, you represent that you have authority to bind that business to these Terms.
Before approving any Professional, we review their application and request supporting documentation appropriate to their category (which may include insurance, licensing, or WSIB coverage where applicable). We do this because we genuinely want to keep low-quality or bad-faith applicants off the Platform.
If something goes wrong with a Professional's conduct or work, please report it to us at hello@thegoldlist.ca — we take reports seriously and may investigate and remove Professionals from the Platform — but we are not a party to, and accept no liability for, the underlying service transaction.
The Gold List is not an insurer, surety, bonding company, or guarantor of any Professional's work, and nothing on the Platform — including any "Verified" badge, category label, review score, or approval status — constitutes a warranty, certification, endorsement, or guarantee of quality, safety, competence, licensure, or fitness for any particular job by The Gold List. Any insurance or licensing information displayed reflects documentation submitted by the Professional at a point in time and may lapse, expire, or be misrepresented without The Gold List's knowledge. Seekers are responsible for independently confirming a Professional's current licensing, insurance, and suitability before engaging them, particularly for higher-risk or regulated work.
Engaging a Professional found through the Platform — including inviting a Professional into your home or property, or performing work at a Seeker's home or property — involves inherent risk, including risk of property damage, personal injury, theft, or financial loss. By using the Platform, you knowingly and voluntarily assume all such risks to the fullest extent permitted by law. You are solely responsible for the decision to hire, retain, or work with any person you find through the Platform, and for taking reasonable precautions (such as requesting proof of insurance, checking references, and being present during work where appropriate).
We may suspend, restrict, or remove any Professional's listing or any user's account, with or without notice, for reasons including but not limited to: misrepresentation on an application; expired, invalid, or unverifiable required documentation; credible reports of misconduct, fraud, or unsafe practices; non-payment; violation of these Terms; or conduct we determine, in our sole and reasonable discretion, to pose a risk to Seekers, other Professionals, or The Gold List. We may also ban an individual or business from reapplying, permanently or otherwise.
We are under no obligation to provide advance notice, a hearing, or a detailed explanation before taking action under this section, though we will generally attempt to do so where practical. No refund is owed for the unused portion of a billing period following a suspension or removal for cause.
You agree not to: submit false, misleading, or fraudulent information in an application or listing; impersonate any person or misrepresent your affiliation with any business; use the Platform to harass, threaten, defraud, or unlawfully discriminate against any person; scrape, crawl, harvest, or bulk-extract data from the Platform by any automated means; reverse-engineer, decompile, or attempt to bypass any security, authentication, rate-limiting, or access-control feature of the Platform; interfere with or disrupt the Platform's normal operation, including its servers or networks; introduce any virus, malware, or harmful code; or attempt to circumvent our approval, verification, or payment systems.
Where a Seeker and Professional are matched through the Platform, you agree not to use information obtained through The Gold List to structure future engagements for the specific purpose of avoiding fees properly owed to The Gold List under a separate written agreement, where such an agreement exists and has been disclosed to you.
TO THE FULLEST EXTENT PERMITTED BY LAW, GOLDLIST AND HELPERAMA INC., TOGETHER WITH THEIR OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR PERSONAL INJURY, PROPERTY DAMAGE, OR DEATH, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM, OR FROM ANY INTERACTION, TRANSACTION, DISPUTE, INJURY, THEFT, OR LOSS INVOLVING A PROFESSIONAL OR SEEKER, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THE PLATFORM OR THESE TERMS, WHETHER IN ONE INSTANCE OR CUMULATIVELY OVER TIME, IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) CAD $100.
This limitation applies regardless of the number of claims or claimants and survives any termination of your relationship with The Gold List. Nothing in these Terms limits liability that cannot be limited or excluded under applicable law, including liability for gross negligence, wilful misconduct, or fraud where such limitation is prohibited by the laws of Ontario or Canada.
You agree to indemnify, defend, and hold harmless The Gold List and Helperama Inc., and their officers, directors, employees, contractors, and agents, from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees on a full-indemnity basis) arising out of or in any way connected with: your use or misuse of the Platform; your violation of these Terms; your violation of any applicable law, licensing requirement, or the rights of a third party; any content, document, or credential you submit; or, in the case of a Professional, any service, work, injury, property damage, theft, or interaction you provide, cause, or engage in with a Seeker found through the Platform. This obligation survives termination of your account and these Terms.
The Platform, including its design, text, graphics, logos, and underlying software, is owned by Helperama Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without our prior written consent, except as necessary to use the Platform for its intended purpose (e.g., viewing your own listing).
By submitting content to the Platform (such as a business profile, bio, or photos), you grant The Gold List a non-exclusive, worldwide, royalty-free, sublicensable licence to display, reproduce, and distribute that content as part of operating and promoting the Platform. You represent and warrant that you own or have the necessary rights to submit that content, and that it does not infringe any third party's intellectual property or other rights. You remain solely responsible for content you submit.
The Platform relies on third-party services, including Stripe (payments), Supabase (data hosting), Resend (email delivery), and Google (maps and reviews). Your use of these features may also be subject to those providers' own terms and privacy policies. We are not responsible for the acts, omissions, availability, security practices, or performance of any third-party service.
While The Gold List takes reasonable steps to protect information submitted to the Platform, no method of electronic storage or transmission is completely secure, and The Gold List cannot guarantee absolute security. To the fullest extent permitted by law, The Gold List's liability for any data breach, unauthorized access, or loss of data is subject to the limitation of liability in Section 11.
Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms by reference.
You may stop using the Platform, or delete your account, at any time. We may suspend or terminate your access to the Platform at any time, for any reason or no reason, including for the reasons described in Section 8. Sections of these Terms that by their nature should survive termination (including Sections 3 through 5 and 9 through 12) will survive indefinitely.
If a dispute arises between you and The Gold List, we encourage you to first contact us at hello@thegoldlist.ca so we can attempt to resolve it informally. If a dispute cannot be resolved informally within 30 days, either party may pursue the matter in the courts of the Province of Ontario, as set out in Section 19.
To the fullest extent permitted by law, you agree that any dispute resolution proceeding will be conducted only on an individual basis and not as part of a class, consolidated, or representative action. Nothing in this section limits either party's right to seek injunctive or equitable relief where appropriate, or affects any rights you may have under applicable consumer protection legislation that cannot be waived by agreement.
We may update these Terms from time to time, at our sole discretion. Where changes are material, we will make reasonable efforts to notify active Professionals (such as by email). Continued use of The Gold List after changes are posted constitutes acceptance of the updated Terms; if you do not agree to updated Terms, your sole remedy is to stop using the Platform.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles and without regard to the United Nations Convention on Contracts for the International Sale of Goods. You agree to submit to the exclusive jurisdiction of the courts located in Ontario for any dispute not resolved informally.

Because The Gold List's Platform involves vetting and listing third-party professionals for services including licensed trades performed inside people's homes, The Gold List strongly recommends having these Terms reviewed by a licensed Ontario lawyer as soon as practical — particularly Sections 3 through 5, 10 through 12, and 17 — since some provisions (including the class-action waiver) carry jurisdiction-specific enforceability requirements that only a qualified lawyer can properly confirm.
